Effective September 1, 2021. Nobody has touched it since. Start with who's allowed to sign this thing. You must be at least 13. If you're a minor, you need a parent or guardian's permission. And you must warrant that you have the authority to bind your record label to a New York arbitration agreement. Read that in order: a thirteen-year-old, with a permission slip, signing away a company's right to a jury trial. And it sticks — you promise you're authorized regardless of whether you stay authorized. The kid quits the label. The label is still bound. Then the money. If Spotify wrecks your account, their maximum exposure is thirty dollars. But the arbitration section promises a thousand dollars if you beat their final settlement offer — so the prize for winning is thirty-three times the most you were ever permitted to win. Somebody wrote both numbers into the same document and shipped it. Not that you'll get there, because your sole and exclusive remedy is to uninstall the software. Spotify for Artists is a website. There is nothing to uninstall. And there's a whole paragraph explaining that Apple will refund your purchase price, which is zero. The parts the lawyers clearly did mean: you indemnify Spotify for glitches in Spotify's own data, you waive class actions, and you have one year to complain about anything. If you're on a label: find out who clicked accept, because whoever it was bound the entity permanently. If you're the artist: back up your analytics yourself. Our opinion on the text as published. Not legal advice — if catalog rights are involved, get a lawyer.
In order to use Spotify for Artists on behalf of your Subscribing Entity, you need to (1) be 13 years of age (or the equivalent minimum age in your home country) or older; (2) have parent or guardian consent if you are a minor in your home country; (3) have the power to enter a binding contract with us on behalf of your Subscribing Entity
Read it in order. You must be at least 13. If you're a minor you need a parent's permission. And you must have the power to bind your record label to a New York arbitration agreement. A thirteen-year-old, with a permission slip, signing away a company's right to a jury trial.
you are an authorized representative of that Subscribing Entity with the authority to bind the Subscribing Entity to these Terms, regardless of whether you remain an authorized representative of that Subscribing Entity in the future
And it sticks. Whoever clicked accept had to promise they were authorized — forever, retroactively, regardless of what happens next. The intern quits. The manager gets fired. The label is still bound to everything they agreed to. Somebody at your company signed this and you probably don't know who.
AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO SPOTIFY FOR ARTISTS, THIRD-PARTY APPLICATIONS, OR THIRD-PARTY APPLICATION CONTENT MORE THAN THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SPOTIFY DURING THE TWELVE MONTHS PRIOR TO THE FIRST CLAIM; OR $30.00.
The greater of what you paid in twelve months, or thirty dollars. Spotify for Artists is free. So it's thirty dollars. That's the ceiling on everything — your analytics, your account, your catalog data.
then Spotify will instead pay you either the amount of the award or $1,000, whichever is greater
Now flip to the arbitration section. Beat their final settlement offer and they'll pay you a thousand dollars. The prize for winning is thirty-three times the most you were ever permitted to win. Somebody wrote both numbers into the same document and shipped it.
YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH SPOTIFY FOR ARTISTS IS TO UNINSTALL ANY SPOTIFY SOFTWARE AND TO STOP USING SPOTIFY FOR ARTISTS.
Not that you'll get there. Your stated sole and exclusive remedy is to uninstall the software. Spotify for Artists is a website. There is nothing to uninstall.
In the event of any failure of Spotify for Artists to conform to any applicable warranty, you may notify Apple and Apple will refund the applicable purchase price for the App to you
A full paragraph of iOS boilerplate whose entire operative promise is a refund of the purchase price. The purchase price is zero. Apple will refund you nothing, and this was worth writing down.
You agree that you will indemnify and hold us harmless against any damage, liability, or costs that you incur as a result of a mistake, error, or glitch in this free service or arising from your use of the data.
Here's the part the lawyers actually meant. If their analytics are wrong and you make a costly decision on the strength of them, that's your loss — and, read literally, your bill. You indemnify Spotify for Spotify's own glitch.
Spotify is not liable for damage to, deletion of, or failure to store any Spotify for Artists Content.
The analytics dashboard is not a system of record and says so. Export your own numbers on a schedule you control.
ANY CLAIM ARISING UNDER THESE TERMS MUST BE COMMENCED (BY FILING A DEMAND FOR ARBITRATION OR FILING AN INDIVIDUAL ACTION UNDER THE ARBITRATION AGREEMENT BELOW) WITHIN ONE (1) YEAR AFTER THE DATE THE PARTY ASSERTING THE CLAIM FIRST KNOWS OR REASONABLY SHOULD KNOW OF THE ACT, OMISSION, OR DEFAULT GIVING RISE TO THE CLAIM
One year from when you first knew or reasonably should have known. Sit on a problem for eighteen months and it's gone. Combined with the thirty-dollar ceiling, this is a deadline to protect a number you can't collect.
